Dealer offered me "Perma-Plate leather and fabric protection" for free on my 435 GC arriving next week. Any downsides to opting in?

Take it. Usually sells for $5-600. It's a GREAT warranty and a top notch company. I have many clients who have needed they're services for one reason or another and they always come through. Any fading, stains or damage is covered. Take it and use it!

Keep in mind that this is just fabric and leather not paint protection that is usually offered.

That's where you'll need it most unless your keeping the car for many years. And free is the best price I've heard of!
