How much should I make an offer for this 2012 328i Base line?

Hello all, I'm a newbie here. Sorry if this is not the right section to make this post. My current car is in really bad condition so I'm thinking of getting a new car. I have got my eyes on this new 2012 328i Base line( non-option). I would like to know some of the suggestions from everyone so I could get the idea. The price the dealer wants is $38k. What offer should I make? KBB value is $33k for the same 2012 model. Thanks for the suggestions.
